In short: Cyber Deal Protection brings cyber due diligence findings into the deal: purchase price, warranties, indemnities, the answers to the W&I insurer and the closing conditions. In one to two weeks, in parallel to the negotiation, we deliver the subject-matter input and a Day-1 list, also based on another advisor’s DD report.

Between due diligence and signing it is decided what the findings are worth.

A DD report with cyber findings helps little if they never reach the negotiation. Without matching warranties or indemnities the buyer carries the risk, and W&I insurers usually exclude known risks.

With Cyber Deal Protection the findings go where they have an effect: into the purchase price, the contract clauses, the answers to the W&I insurer and the conditions for closing. Whatever is still open at closing goes on the Day-1 list.

We work from the findings of our own due diligence or from another advisor’s report, with the experience of more than 50 due diligence projects.

  • Risk stays with the buyer

  • Exclusions in the W&I policy

  • Open points on Day 1

Price the findings in

Which findings justify a price reduction or a holdback? Which warranties and indemnities cover the remaining cyber risk? What will the W&I insurer ask, and how do you answer with evidence? What must be fixed before closing?

We deliver the answers in one to two weeks, in parallel to the negotiation, and align them with your legal counsel.

Frequently asked questions

What is Cyber Deal Protection?

The phase between due diligence and closing in which the cyber findings go into the deal: purchase price, warranties, indemnities, the answers to the W&I insurer and the closing conditions.

Is this legal advice?

No. Your legal counsel drafts the clauses. We provide the subject-matter input: what risk each finding means and what fixing it costs.

Does it work if another firm did the due diligence?

Yes. We work from the findings of our own cybersecurity due diligence or from another advisor’s report.

How long does it take?

One to two weeks, in parallel to the SPA negotiation.

What do we get?

Clause input for warranties and indemnities, answers for the W&I insurer, proposals for closing conditions, a Day-1 list and the updated Cyber Value Scorecard.

How does it fit into the investment lifecycle?

It is the third of seven steps: the Day-1 list goes straight into IT post-merger integration. The whole process is on our page Cybersecurity for private equity firms.

Note: this page and our services are not legal advice. We align contract clauses, warranties, indemnities and insurance questions with your legal counsel.
